城镇房屋租赁合同新范本发布

本报讯 (记者杨召奎)近日,市场监督管理总局正式发布《城镇房屋租赁合同(示范文本)》(以下简称示范文本),旨在将《中华人民共和国民法典》中关于房屋租赁的相关规定转化为房屋出租人、承租人在房屋租赁时的风险前置防范,盘活存量房屋资源,实现房屋有序有效利用。

示范文本包含房屋租赁期限、租金及支付、租赁用途、能否转租、装饰装修、维护修理等关键条款,为城镇房屋租赁双方提供了清晰、具体的合同范本。示范文本增加“特别提示”部分,对出租人身份、房屋权属证明、承租人身份、租赁房屋用途的核验以及房屋安全管理等容易引发纠纷的关键内容进行了重点提醒。

此外,示范文本对承租人的优先承租权、优先购买权,对次承租人的代为清偿权等重要术语进行了释明,便于当事人理解使用。示范文本将通过平衡合同双方的权利义务,促进房屋租赁市场健康有序发展,为居民的安居生活保驾护航。

据了解,2021年,《中华人民共和国民法典》正式施行,原《中华人民共和国合同法》废止。为落实《中华人民共和国民法典》新要求,遏制实践中恶意克扣押金、利用住房进行经营、维修责任推诿、随意涨租违约、安全管理不实、房屋转租乱象等城镇房屋租赁乱象,市场监管总局对《租赁合同(示范文本)》(GF—2000—0601)进行了修订,将原《租赁合同(示范文本)》细化为《城镇房屋租赁合同(示范文本)》。

第三条 转租

(二)经甲方同意的转租不影响本房屋租赁合同效力,因转租造成房屋损失的,乙方应当承担损失赔偿责任。


(ii) The subletting with Party A's consent shall not affect the validity of the lease contract of the premises, and Party B shall bear the responsibility of compensation for the loss of the premises due to subletting.



(三)乙方经甲方同意将该房屋转租给第三人,转租的租金归乙方所有,转租期限不得超过乙方剩余租赁期间,超过部分的约定对甲方不具有法律约束力。


(C) The subletting rent of subletting arising out of Party B’s subletting of the premises to a third party with Party A's consent shall belong to Party B. The term of subletting shall not exceed the remaining period of Party B's lease, and the agreement on the part exceeding the term shall not be legally binding on Party A.


第五条 租金

第六条 押金

Article 6 Deposit

(一)为保证在租赁期间乙方能够及时足额支付租金及其他相关费用和合理使用该房屋及附属设施、物品,乙方应当在签订本合同时,向甲方支付押金_____元。

(1) For ensuring Party B can pay the rent and other related expenses in full and in time during the lease term and reasonably use the premises, the ancillary facilities and articles, Party B shall, upon conclusion of the present contract, pay a deposit of amount of ____ Yuan to Party A.


第八条 房屋交付及返还

Article 8 Delivery and Return of the Premises


(二)租赁期间届满或本合同提前终止时,乙方应当将该房屋返还甲方,并保证附属设施、物品的完整良好状态(租赁期间的自然损耗除外)。

(2) Party B shall, upon expiry of the lease term or early termination of this contract, return the premises to Party A and ensure the ancillary facilities and articles therein are in the complete and good condition (except for natural wear and tear during the lease term).


第九条 房屋使用

Article 9 Use of the premises


(一)乙方应当按合同约定的用途合理使用该房屋及附属设施、物品。出现毁损或者其他影响正常使用情形时,应当及时告知甲方,并采取必要措施以避免损失扩大。

(1) Party B shall reasonably use the premises and the appurtenant facilities and articles as per the purpose stated in the contract. In case of damage or other circumstances affecting normal use, Party B shall inform Party A in time and take necessary measures to avoid the expansion of losses.


第十条 房屋维修

Article 10 Housing Maintenance


(一)租赁期间,甲方应当保障该房屋及附属设施、物品处于正常使用的状态,并承担乙方正常使用下该房屋及附属设施、物品损坏的维修义务。乙方有权在房屋及附属设施、物品需要维修时,请求甲方在合理期限内维修。

(1) During the lease term, Party A shall ensure that the premises and the attached facilities and articles are in the state of normal use, and bear the maintenance obligation for the damage of the premises and the attached facilities and articles under the normal use of Party B which shall have the right to request Party A to repair the premises within a reasonable time when the premises and ancillary facilities and articles need to be repaired.


第十一条 优先购买权

Article 11 Right of Priority Purchase

甲方出卖该房屋的,应当提前____日通知乙方。乙方享有以同等条件优先购买的权利。

Party A shall give Party B ____ days' notice in advance if Party A sells the premises. Party B shall enjoy the right of priority purchase under the same conditions


第十二条 保密要求

Article 12 Confidentiality


甲、乙双方对订立合同过程中知悉的对方的商业秘密(包括技术信息和经营信息)及双方约定的其他保密信息即_____ ,无论本合同是否成立,均不得泄露或者不正当地使用;任何一方泄露、不正当地使用该商业秘密或者保密信息,给对方造成损失的,应当承担赔偿责任。

Any of parties hereto shall not disclose or improperly use the opposite party's commercial secrets (including technical information and business information) and other confidential information agreed upon by the parties, i.e. _____ , whether or not this contract is established; any party which discloses or improperly uses the commercial secrets or confidential information, and causes losses to the opposite party, shall bear the responsibility of compensation.


第十三条 甲方权利和义务

Article 13 Party A’s Rights and Obligations


(一)甲方应当保证有权出租该房屋,甲方应当向乙方出示身份证明、房屋权属证明、有权决定该房屋出租事宜的相关证明。

(1) Party A shall ensure it has the right to rent the premises and present Party B with proof of identity, proof of ownership of the premises, and proof of the right to decide on matters relating to the rental of the premises.


第十四条 乙方权利和义务

Article 14 Party B’s Rights and Obligations


(三)乙方应当按合同约定的时间、方式及时足额支付租金、押金及其他费用。

(3) Party B shall pay in full the rent, deposit and other charges on time subject to the time and manner agreed in the contract.


(四)乙方不得在该房屋内进行违法犯罪行为或者其他违反法律法规规定的行为。

(4) Party B shall not conduct illegal and criminal acts or other acts in violation of laws and regulations in the premises.


第十五条 违约责任

Article 15 Liability for breach of contract


(一)甲方提前收回该房屋的,或者乙方提前退租的,应当提前_____日书面通知对方,并经对方同意后,应当按照_____的标准向对方支付违约金。

(A) Party A takes back the premises in advance, or Party B withdraws from the lease in advance, it shall notify the opposite party in writing in advance of _____ days, and with the consent thereof , it shall pay liquidated damages to the opposite party in accordance with the standard of _____.


(二)甲方未按约定时间交付该房屋,应当按照_____ 的标准承担违约责任。甲方未按约定时间返还乙方的押金、租金的,应当按照_____的标准承担违约责任。

(2) Party A fails to deliver the premises at the agreed time and shall be liable for breach of contract in accordance with the standard of _____. 第十六条 合同变更、终止

Article 16 Amendment and Termination of Contract


(一)本合同经甲、乙双方协商一致可以变更。

(1) This contract may be changed or amended by consensus between the party A and B.


(二)有下列情形之一的,本合同可以终止:

第十七条 不可抗力

Article 17 Force Majeure

(一)不可抗力是指不能预见、不能避免并不能克服的客观情况。

(1) Force majeure refers to the objective circumstances that cannot be foreseen, avoided and overcome.


(三)双方可以根据不可抗力的影响情况协商延期履行、部分履行、不履行合同或者解除合同。

(3) The parties may negotiate for postponement of performance, partial performance, non-performance of the contract or cancellation of the contract subject to the impact of force majeure.


第十八条 通知、送达

Article 18 Notice and Service


(一)双方保证在本合同中记载的联系电话、联系地址、电子邮箱等信息均真实有效并作为本合同履行以及法院或者仲裁机构解决本合同争议时的有效联系方式和送达地址。

(1) The parties hereto guarantee the contact telephone number, contact address, e-mail address and other information recorded herein are true and effective and shall be served as the valid contact information and delivery address for the performance of this contract and the settlement of disputes by the court or arbitration institution.


(二)任何一方变更联系电话、联系地址、电子邮箱的,应当自变更之日起_____日内书面通知对方,并提供变更后的信息;未及时通知的,对方按照本合同约定的联系方式和送达地址进行送达的,视为有效送达。

(2) If either party changes the contact telephone number, contact address or email address, it shall notify the opposite party in writing within _____ days from the date of change and provide the changed information; if no timely notification is made, the opposite party’s service as the contact information and service address stated herein shall be deemed to be valid.


第十九条 法律适用及争议解决

Article 19 Application of Laws and Dispute Settlement


(一)本合同之订立、生效、解释、变更、终止、执行与争议解决均适用中华人民共和国的法律法规。

(1) The conclusion, entry into force, interpretation, alteration, termination, execution and dispute settlement of this Contract shall be governed by the laws and regulations of the People's Republic of China.

甲乙双方共同确认,本附件所约定房屋的附属设施、设备、家具、电器、装饰装修、相关物品等随同该房屋交付。

如果租赁房屋用于办公或者其他用途,下述房屋交割单不足以含盖双方需要交接内容的,由双方自行制作其余所涉及物品、设施等交割单,并根据交割单查验交付相关物品、设施。

Party A and Party B jointly confirm that the attached facilities, apparatus, furniture, electrical appliances, decoration and related items of the premises as agreed in this Annex shall be delivered together with the premises.

If the leased premises are used for office or other purposes, and the following delivery note is not sufficient to cover the contents of the handover required by the parties which shall make their own delivery note for the rest of the items and facilities involved, and deliver the relevant items and facilities in accordance with the delivery note.
